  • The maximum daily working time of 12 hours must be observed, with the 11th and 12th hour (and inexceptional cases any additional hours) being charged as overtime at a minimum surcharge of 50% onthe standard rate. An extension of the maximum daily working time is only permitted due to work interruptions caused by force majeure, whereby the enforced break time must be paid at the regular rate plus overtime surcharge.
  • Flat rates/daily rates apply for 10 hours. If the 10 hours are exceeded, additional costs will be charged. These are at least the calculated hourly rate +50% overtime surcharge.
  • For orders outside Vienna, we charge the official mileage allowance plus the full driving time for the driver and half the driving time for passengers. Hotel costs for overnight stays are charged at 1:1 unless a suitable hotel is provided.
  • No deductions will be made for breaks, regardless of the catering provided on site. Employees must observe the legally required breaks, and the client may not cancel or restrict any legally required breaks.
  • For bookings of 4 or more people, the 4th person will be charged as the crew leader, unless a higher-level activity has been booked. This person is responsible for order processing and coordination on site and acts as the contact person and interface between the client and the crew.
  • All organisational matters must be coordinated exclusively with the office via hotline or email. Agreements with on-site employees are not permitted and do not oblige VSB United FlexCo to provide any services.
  • The client or organiser is responsible for occupational safety at the respective location. The safety and health protection documents valid on site must be submitted to VSB United FlexCo at an early stage so that appropriate precautions can be taken to ensure compliance with the regulations. Service description

VSB United FlexCo offers services in the event sector. We support companies in the realisation of events in the
areas of system technology, stage construction and decoration building.

Our employees are responsible for handling set-up and dismantling as well as show support for our customers
on site. The materials and plans are usually provided by our customers.

Our employees are not integrated into our customers' corporate structure and report exclusively to VSB United
FlexCo. They are therefore bound exclusively by the instructions of VSB United FlexCo and its representatives on site (e.g. crew leader, crew chief and/or team leader). VSB United FlexCo is responsible for safety training and
the provision of appropriate work equipment.

Liability

VSB United FlexCo shall be liable for its own negligence and that of its cooperation partners exclusively in cases of gross negligence or intent. This also applies to vehicles provided by the client. The existence of fault must be proven by the client.

VSB United FlexCo is not liable for consequential damage, indirect damage or loss of profit. This limitation of liability also applies to any personal liability of legal representatives, employees and other agents.

All claims against VSB United FlexCo under this provision shall become time-barred within 12 months. The start of the limitation period is based on the respective legal provisions.

The settlement of claims is only permitted between the injured party and VSB United FlexCo via the insurance of VSB United FlexCo – if damages are covered by third parties, VSB United FlexCo shall not be liable for the settlement of the damages.

Value protection clause

The possibility of annual adjustment of the claims plus ancillary claims in terms of value stability as of 31 December each year is expressly agreed. The measure used to calculate value stability shall be at least the consumer price index 2020 (base year 2020) published monthly by Statistics Austria or an index replacing it.

The reference value for this contract is the index figure calculated for the month of August 2021 (CPI 2020 103). All rates of change shall be calculated to one decimal place.

Terms of payment

Invoicing takes place after completion of an order. The payment term stated on the invoice shall be considered as agreed. The client is not entitled to withhold any discounts.

Any objections to invoices must be submitted in written form to VSB United FlexCo within seven days, otherwise the invoice shall be considered as approved.

All payments are to be made free of charge to A.B.S. Factoring AG, Volksbank Salzburg, IBAN: AT87 4501 0051 0002 4784, BIC: VBOEATWWSAL, payable to A.B.S. Factoring AG/VSB United FlexCo.

In the case of delayed payment, the client shall reimburse default interest as well as all reminder, collection, assessment and information costs associated with the recovery of outstanding claims.

In the event of late payment, VSB United FlexCo shall be entitled to suspend the execution of further orders until all liabilities have been paid. This also applies to orders already in progress. VSB United FlexCo shall not be liable for any damages incurred by the client as a result.

VSB United FlexCo is entitled to offset payments against any older debts, despite any other dedications made by the client. Late payments may be offset by VSB United FlexCo first against costs, then against interest and finally against the capital claim.

The client has no right of retention or refusal of performance. The offsetting of claims against VSB United FlexCo is only permissible if the claim has been explicitly recognized in written form or has been legally established.

Prohibition of assignment

The client is not entitled to assign claims against VSB United FlexCo to third parties.

Data protection

Data protection law, in particular § 6 DSG (Data Protection Act) including corresponding operational instructions, is observed. The personal data of natural and legal persons is processed in accordance with the General Data Protection Regulation (GDPR). The transfer of data is limited to the information necessary for the processing of the order and is limited in time. Any objections are only possible in written form.

Choice of law/place of jurisdiction

Austrian law applies. For any disputes, the exclusive jurisdiction of the competent court in Vienna, Innere Stadt, is agreed.

Final provisions

Should any individual provisions of these General Terms and Conditions be or become invalid, this shall not affect the validity of the contract and the remaining provisions of the Terms and Conditions. The invalid provision shall then be replaced by a provision that comes closest to the economic purpose. The client agrees that the data necessary for the legal transaction may be recorded and processed electronically.
